Terms of Service

1. Agreement
These Terms of Service ("Terms") govern your access to and use of Chopsbill's websites, applications, APIs, and related services (collectively, the "Service"). By creating an account, accessing, or using the Service, you agree to these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to the organization.
2. Eligibility
You must be able to form a binding contract in your jurisdiction and not be barred from using the Service under applicable law. If you permit others to collaborate on bills, you are responsible for their compliance with these Terms to the extent applicable.
3. Accounts and security
You must provide accurate information and keep your credentials confidential. You are responsible for activity under your account unless you promptly notify us of unauthorized use. We may suspend or terminate accounts that violate these Terms or present a security risk.
You may sign in with email and password or, where enabled, OAuth providers such as Google, GitHub, or Apple. When you use OAuth, authentication is performed by that provider under its own terms and privacy policy; Chopsbill receives identifiers and profile fields needed to operate your account, as described in our Privacy Policy.
4. The Service
Chopsbill helps groups record shared expenses, assign splits (including equal, percentage-based, and fixed amounts per line item), track participant balances, and view suggested settlement flows. The Service does not move money on your behalf; any payment you make is directly between you and your bank or payment app. Features may include, depending on your plan and configuration:
- Bills and participants — create bills, add people, set a base currency, and invite collaborators according to each bill's sharing mode.
- Sharing modes — bills may be shared as public (link-accessible), protected with a passphrase you set, or kept private to the creator until you change settings.
- Exports — spreadsheet-style exports (for example Excel-compatible formats) where enabled; certain formats such as PDF summaries may be offered only on paid tiers.
- Plans and limits — Free and Pro (or similarly named) tiers may differ in limits such as how many active bills you may own, how many participants a bill may include, and whether optimized multi-party settlement routing or duplicate-bill tools are available. Limits shown in the product or billing screens are part of the Service description.
- Join links and collaboration — features that let others open or join a bill are controlled by you; anyone who receives a working link or passphrase may be able to see or edit content according to that bill's rules.
- Friends, groups, and linking — you may add friends, manage groups, link participants to user accounts, and import group members when creating bills. Linked users may see non-private bills where they are explicitly linked as participants.
- Password recovery — if you use email/username sign-in with a password, you may request a time-limited reset link sent to your account email. Misuse of this feature violates the acceptable use rules in Section 7.
Calculations, exports, and settlement suggestions are provided for convenience; you remain responsible for verifying amounts, taxes, reimbursements, and any financial decisions.
5. Paid subscriptions and billing
If you purchase a paid plan, fees, renewal periods, and taxes (where applicable) are shown at checkout or in your billing settings. Payments are processed by our payment partner (for example, Stripe); their terms and privacy policy also apply. Subscriptions may renew automatically until you cancel in accordance with the cancellation options we provide (such as through a customer billing portal).
We may change prices or introduce new plans with reasonable notice where required by law. Unless mandated otherwise, fees are non-refundable except at our discretion or where consumer law requires a refund. If a payment fails or a subscription ends, your account may revert to Free-tier limits and Pro-only features may become unavailable until you renew or upgrade again.
6. User content and licenses
You retain rights to content you submit ("User Content"). You grant us a worldwide, non-exclusive license to host, process, transmit, display, and distribute User Content solely to operate, secure, and improve the Service. You represent that you have all rights necessary to grant this license. You must not upload unlawful, infringing, or malicious content.
7. Acceptable use
You agree not to:
- Violate laws or third-party rights.
- Probe, scan, or test the vulnerability of the Service, or bypass security or access controls.
- Use the Service to distribute malware, spam, or deceptive materials.
- Reverse engineer the Service except where permitted by law.
- Mine data from the Service through automated means without written permission.
- Interfere with other users' enjoyment of the Service.
8. Privacy
Our collection and use of personal information is described in the Privacy Policy at /privacy, which is incorporated by reference.
9. Third-party services
The Service may integrate with third parties (for example, Google sign-in, Stripe for subscriptions, and hosting or analytics providers). Your use of those features is also governed by the third party's terms and privacy policy. We are not responsible for third-party services.
10. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL CHOPSBILL OR ITS SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY. OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM OR (B) FIFTY U.S. DOLLARS (USD $50) IF YOU HAVE NOT PAID FEES. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN THOSE CASES, OUR LIABILITY IS LIMITED TO THE FULLEST EXTENT PERMITTED BY LAW.
12. Indemnity
You will defend, indemnify, and hold harmless Chopsbill and its affiliates, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from your User Content, your use of the Service, or your violation of these Terms or applicable law.
13. Suspension and termination
We may suspend or terminate access to the Service for violations of these Terms or operational reasons. You may stop using the Service at any time. Provisions that by their nature should survive termination (including Sections 6, 10–12, and 15–17) will survive.
You may delete your Chopsbill account from Account > Danger zone when the product offers a delete-account control. Deletion removes or anonymizes personal data associated with that account subject to lawful retention (for example, tax or fraud-prevention records). You should export or delete bills you own before deletion if your organization requires records.
14. Changes to the Service and Terms
We may modify the Service or these Terms. If we make material changes, we will provide reasonable notice (for example, by posting an updated effective date or in-app notice). Your continued use after the effective date constitutes acceptance, except where applicable law requires a different process.
15. Governing law and disputes
Unless a different governing law is specified by the operator of your deployment, these Terms are governed by the laws of the jurisdiction the operator designates, without regard to conflict-of-law principles. Courts in that jurisdiction will have exclusive venue, unless mandatory consumer protections require otherwise.
16. Export compliance
You must comply with export control and sanctions laws. You may not use the Service in embargoed countries or by prohibited parties.
17. Miscellaneous
These Terms constitute the entire agreement between you and us regarding the Service and supersede prior agreements on the same subject. If a provision is unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
